Why the Count Matters More Than the Years
A corporation has a tax year for every year it has existed, whether or not it traded, and a T2 is due for each one. The number people usually have in mind is how long ago they incorporated. The number that matters is how many tax years have ended since, because that is how many returns are owed.
The two can differ, and a short first year is why. A corporation incorporated in March 2023 that chose a December 31 year-end had its first tax year end nine months later, in December 2023. By January 2027 it has four tax years behind it — 2023, 2024, 2025 and 2026 — and owes four returns, which is one more than the three years it feels like it has been going.
The First Year Is the One That Catches People
A first tax year runs from the date of incorporation to the first year-end chosen, and it may not exceed 53 weeks, which is 371 days. It is almost always shorter than twelve months, and it is still a full tax year needing a full return.
Where the first year-end entered here produces a first year longer than 53 weeks, the year-end on record with the Canada Revenue Agency is probably not the one entered, and a transmission against the wrong year-end is rejected. The 53-week first tax year checker tests that one question on its own.
What an Overdue Year Actually Costs
Each outstanding nil year is $300.00 plus HST per tax year, and several years are transmitted in one sitting rather than one at a time.
A true nil return carries no percentage late-filing penalty, because that penalty is a percentage of tax owing and the corporation owes $0.00. The unfiled year still stays open forever, invites a demand to file and an arbitrary assessment, blocks a clearance certificate and dissolution, and costs a non-resident-owned corporation $25.00 per day up to $2,500.00.
How a Corporation Ends Up With More Tax Years Than It Expects
Four things add a tax year, and all four are common in corporations that were set up and then left alone.
| What happened | Effect on the count | Returns owed |
|---|---|---|
| Incorporated part-way through a year | A short first tax year, then full ones | One for the short year, one for each year after |
| The fiscal year-end was changed | A short stub year at the changeover | One extra return for the stub period |
| The corporation was dissolved mid-year | A short final year ending on the dissolution date | One final return |
| The corporation amalgamated | Each predecessor’s year ends the day before | One final return per predecessor |
Each of those is a separate tax year and needs its own return, and each nil one is $300.00 plus HST per tax year. None of them is covered by filing the year on either side of it.
A corporation that holds shares, owns rental property or holds investments is not nil, and in any year it receives something there are figures to report. A Quebec corporation files a CO-17 as a separate return and an Alberta corporation files an AT1 the same way, neither of them covered by the fee here.
Frequently Asked Questions
Does a Year With No Activity Still Count as a Tax Year?
Yes. A tax year ends on the fiscal year-end whether anything happened in it or not, and a T2 is due for it.
What If I Do Not Know the First Fiscal Year-End?
It is on the first notice of assessment, and it is the year-end the Canada Revenue Agency holds. A transmission against a different year-end is rejected.
Is There a Limit on How Many Years Can Be Filed at Once?
No. Several years are transmitted in one sitting. Each nil year is $300.00 plus HST per tax year.
Does the Count Include the Year That Has Not Finished?
No. The table lists tax years that have ended, because a return cannot be transmitted until the year is over. The year in progress is named separately with its own date.
Do I Need Bookkeeping for Every One of Those Years?
Not for a year with no transactions. A nil return is built from the corporation’s own position, and whichever schedules that position requires are inside $300.00 plus HST per tax year.
