Answer all four and the answer appears here.
Gondaliya CPA Professional Corporation is a registered EFILE electronic filer. Returns are prepared and transmitted in Canada. Credentials are never shared and never used offshore.
Where the Line Sits
A nil return and a full return are the same form. What differs is whether anything happened in the tax year. One revenue entry, one expense, one dividend or one disposal and the year is a full return, however small the amount.
Existing is not activity. A corporation can hold a bank account, own assets and stay registered for years without carrying on business, and every one of those years is nil.
What Changes When It Is Not Nil
The schedules grow with the activity, the figures stop being zero, and the work is no longer a fixed-fee filing. That is why a full return is handled by Gondaliya CPA Professional Corporation at gondaliyacpa.ca rather than here.
A holding corporation with investment income, a rental corporation and a corporation that paid or received a dividend are not nil. Those are handled by Gondaliya CPA Professional Corporation at gondaliyacpa.ca at $350.00 plus HST per year.
This Tool and the Dormant Test
This one compares the two kinds of return and names which applies. The dormant corporation test asks ten activity questions and names the single item that disqualifies a year, which is the finer instrument of the two. Use this to understand the difference, that one to settle a close case.
Fourteen Situations and Which Return Each One Needs
The test is not how small the amount was. It is whether anything happened at all. These are the situations that come up most often, and which side of the line each one falls on.
| What happened during the tax year | Nil or full | Why |
|---|---|---|
| No revenue, no expenses, no movement in the bank account | Nil | Nothing to report on any line |
| A bank account stayed open but was never used | Nil | An open account is not activity |
| Shares were issued and nothing else happened | Nil | Share capital is a balance, not income |
| The corporation was registered part-way through the year and never traded | Nil | A short first year with no activity is still nil |
| A director was changed | Nil | A registry matter, not a tax one |
| A shareholder loan was advanced or repaid | Nil | A loan movement is neither income nor an expense, so the year can still be nil — but the balance puts the GIFI schedules on the return |
| One bank service charge was paid | Full | An expense was incurred, so there is a figure to report |
| Interest was credited on a corporate account | Full | Income was received, however small |
| An incorporation cost was paid | Full | An expense was incurred |
| Rent was received on a property the corporation owns | Full | Rental income is income |
| A dividend was paid or received | Full | A dividend is a reportable transaction either way |
| An asset was sold or transferred out | Full | A disposition has to be reported |
| A management fee was charged to a related company | Full | Revenue was earned |
| Payroll was run for one month | Full | Wages are an expense and a payroll obligation of their own |
A corporation that exists to hold shares, to own rental property or to hold investments is not nil. Its purpose is to receive something, and in any year it does, there are figures to report. A Quebec corporation files a CO-17 as a separate return, and an Alberta corporation files an AT1 the same way. Neither is covered by the fee here.
Frequently Asked Questions
Is a Nil Return a Shorter Form?
No. It is a complete T2 with the figures at zero. The identification, the fiscal year dates and the GIFI schedules where they are required are all still part of it.
Does One Small Expense Really Make It a Full Return?
Yes. There is no threshold below which activity is ignored. A single bank charge paid from the corporate account is activity.
What If Different Years Are Different?
Each tax year is judged on its own. A corporation can file nil for three years, full for one, and nil again after it.
Is the T2 Short the Same as a Nil Return?
No. The T2 Short is a shorter version of the form that some corporations qualify to use. The T2 Short eligibility checker runs all eight conditions.
What Happens If We File Nil and It Turns Out Not to Be?
We check before you pay. If we find it afterwards, we refund you in full and the work moves to gondaliyacpa.ca.
