Dissolution can be held up and the outstanding years remain the corporation’s responsibility. A final T2 is due within six months of dissolution, and every earlier year must already be filed. An unfiled year blocks a clearance certificate, which is what confirms nothing is owed before the corporation closes.

A true nil return carries no percentage late-filing penalty, because that penalty is a percentage of tax owing and the corporation owes $0.00. The unfiled year still stays open forever, invites a demand to file and an arbitrary assessment, blocks a clearance certificate and dissolution, and costs a non-resident-owned corporation $25.00 per day up to $2,500.00.

A clearance certificate confirms the corporation has no outstanding amounts before it is wound up. An unfiled year is an open year, so the certificate cannot be issued until the return is filed.
