Your Corporation Started Operating: What Changes After the Nil Years

Once your corporation has income, expenses or other activity in a tax year, its T2 for that year is no longer nil. It needs bookkeeping, financial statements and the schedules that apply, and often GST/HST and payroll accounts too.

What changes between a nil year and an operating year?

Item Nil year Operating year
T2 return Nil T2, no activity Full T2 with financial statements and the schedules that apply
Bookkeeping Not needed Every transaction recorded and matched to the bank
GST/HST Usually not registered Required once taxable sales, including those of associated businesses, pass $30,000 in a calendar quarter or over four consecutive calendar quarters
Payroll None Payroll account and remittances once salary is paid
Financial statements No full statements; GIFI data only, often all zero Prepared for the T2; a compilation engagement report if a bank asks
Tax instalments None From a later year, if tax for both that year and the previous year is over $3,000
Who files it Corp Nil Filing for $300, $300.00 plus HST per tax year Gondaliya CPA, fixed annual fee shown before tax

Which year is the first operating year?

It is the first tax year with any activity, even one sale or one business expense. Earlier years with no activity stay nil and are filed here. The first operating year, and every year after it, needs a full T2.

If a return filed through this site turns out not to be nil, you get a full refund, and that year needs a full T2, which Gondaliya CPA prepares.

What should you do in the first month of operations?

  • Pay every business cost from the corporation’s own bank account.
  • Start bookkeeping from the first transaction, in Xero or QuickBooks Online.
  • Decide whether to register for GST/HST before you reach $30,000 in taxable sales.
  • Decide how you will pay yourself, by salary, dividends or both, before the first payment.
  • Keep every receipt and invoice. Business records are kept for six years from the end of the last tax year they relate to.

Gondaliya CPA covers the first 90 days in new corporation setup.

Frequently Asked Questions

Does one small sale make my year not nil?

Yes. Any activity in the tax year means the T2 for that year is a full return, not a nil one.

Do my earlier nil years need to be refiled?

No, if they truly had no activity. Only years with activity need a full T2.

Do I have to register for GST/HST right away?

Not until taxable sales, including those of associated businesses, pass $30,000 in a calendar quarter or over four consecutive calendar quarters. Registering earlier is a choice, and it lets the corporation claim input tax credits on costs incurred after it registers.

Does the corporation need a payroll account?

Only if it pays salary or wages to someone, including you. Dividends do not need one.

Will the corporation pay tax instalments?

Not in its first operating year if the year before was nil, because instalments apply only when tax for both the current and the previous year is over $3,000.

Can I still use this site after operations start?

Yes, for any earlier year that had no activity. Operating years are filed by Gondaliya CPA.
